Please read this agreement carefully. By installing, opening or using Mercista (the "Software"), or by clicking to accept, you confirm that you have read and accepted these terms; an electronic acceptance has the same effect as a signature. If you do not agree, do not use the Software.
1. The parties
The licensor is Mercista ("the Vendor"), contact: support@mercista.com. "You" means the person or company that installs or uses the Software.
2. License
The Vendor grants you a non-exclusive, non-transferable license to install and use the Software as described in this section. Evaluation: the Software starts with a free evaluation that ends after 7 days or 100 operations, whichever comes first (an operation is one saved document of any kind, purchase, expense or payment; sample data does not count); during it you may use the Software for evaluation only. Licensed use: after you buy a license you receive a license key that does not expire (a lifetime license) and that is made for one computer, identified by its device code. A license covers use on that one computer only; use on further computers needs further licenses. The device code is a one-way code derived from the computer's hardware identifier (see the Privacy Statement). The same key keeps working if you uninstall and reinstall the Software, or format that computer and install Windows again, because the code belongs to the hardware (on a computer whose firmware offers no usable identifier the code follows the Windows installation, and reinstalling Windows then needs a new key). If you replace the computer's motherboard or move to another computer, the device code changes: ask the Vendor for a new key for the new device code. You must not share your key. The Software is licensed, not sold, and all intellectual-property rights in it remain with the Vendor and its licensors.
3. Restrictions
You may not copy the Software except for backup, rent, lease, resell, sublicense or distribute it, remove licensing or copyright notices, or attempt to circumvent any license check. You may not reverse engineer, decompile or modify the Software except to the extent that mandatory law expressly allows despite this restriction.
4. Fees and refunds
The price, currency, taxes and license period are those shown when you purchase. If the Software does not perform materially as described and the Vendor cannot correct the problem within a reasonable time after you report it, you may end this agreement and receive a refund of the fees for the period not yet used. Refunds and cancellation rights granted to consumers by the law that applies to you are not affected.
5. Your data
All invoices, customers, items and other business data you enter remain yours and are stored on your own device. The Vendor does not receive, access or process your data, and is not your data processor. Optional features (cloud sync folder, e-invoice files, WhatsApp) move data only where you direct it and under your control. You are responsible for keeping regular backups (use the Backup button and the automatic or encrypted backup options) and for keeping your passwords and encryption passphrases safe; a lost passphrase cannot be recovered.
6. Your compliance
The Software is a tool that helps you prepare business documents. It does not provide legal, tax or accounting advice. You are solely responsible for the accuracy of the data you enter, for checking every document before you issue it, and for complying with the invoicing, tax, e-invoicing, record-keeping, personal-data and consumer laws that apply to your business, including keeping records for the periods the law requires. Features such as tax calculation, amount-in-words, currency conversion and e-invoice files are provided for convenience; the e-invoice files follow international standards but are not an approval or certification by any tax authority.
7. Updates and support
The Vendor provides updates and support as described on its website or in your purchase. The Vendor will use reasonable efforts to correct reproducible defects reported by licensed customers.
8. Warranty
The Vendor warrants that it has the right to license the Software and that it will perform materially as described in its documentation. Except as stated in this agreement and to the extent the law allows, the Software is provided "as is" without other warranties, including merchantability, fitness for a particular purpose and non-infringement, and the Vendor does not warrant uninterrupted or error-free operation.
9. Limitation of liability
To the extent the law allows, the Vendor is not liable for indirect, incidental, special or consequential damages, or for loss of data, profits or business, arising from the use of or inability to use the Software, and its total liability is limited to the fees you paid for the Software in the 12 months before the claim. Nothing in this agreement limits or excludes liability for fraud, wilful misconduct or gross negligence, for death or personal injury, for breach of the Vendor's essential obligations, or for anything else that cannot be limited or excluded by law, and it does not affect your statutory consumer rights.
10. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, war, government action, power or internet failures, provided it informs the other party and resumes performance as soon as possible. This does not excuse payment obligations already due.
11. Term and termination
This agreement lasts for the evaluation period and, once you have bought a license, for as long as you use the licensed Software (the license has no end date), unless it is terminated under this section. Either party may terminate it if the other materially breaches it and does not remedy the breach within 30 days of written notice; the Vendor may end an evaluation at any time. On termination you must stop using the Software, and you can export your data at any time. Sections that by their nature should survive (intellectual property, liability, governing law) continue.
12. Changes
The Vendor may update these terms for legal, security or product reasons by showing the new version in the Software or on its website. If a change is materially unfavourable to you, you may end this agreement and receive a refund for the unused period.
13. Third-party components
The Software includes open-source components (see "Credits") that are licensed under their own terms.
14. Sanctions and export
You must not use the Software in breach of applicable trade-sanctions or export-control laws.
15. Governing law and disputes
This agreement is governed by the laws in force at the Vendor's registered place of business, without regard to conflict-of-law rules. The parties will first try to resolve any dispute in good faith for 30 days after written notice; otherwise the competent courts at the Vendor's registered place of business have jurisdiction, subject to any mandatory consumer-protection rule that gives you the right to bring a claim where you live.
16. Languages
This agreement is provided in Arabic and English. If the two versions differ, the Arabic version prevails for interpretation before the competent court, to the extent the law requires.
17. General
This is the entire agreement about the Software and replaces earlier understandings. If a provision is unenforceable, the rest remains in force. A failure to enforce a right is not a waiver. You may not assign this agreement without the Vendor's written consent; the Vendor may assign it to a successor of its business. Notices may be given by email to the address you provided or to support@mercista.com.
